These Terms of Service and End-User License Agreement (the “Terms”) govern access to and use of the bookkeeping and financial-operations software and services (the “Service”) provided by Profit Partners LLC (“Profit Partners,” “we,” “us,” or “our”), including our integration with Intuit QuickBooks Online. By using the Service, you agree to these Terms.

1. The Service
The Service assists with bookkeeping, transaction categorization, account reconciliation, and financial reporting, including by connecting to a client’s QuickBooks Online company through Intuit’s authorized API to read and update accounting data.
2. License
Subject to these Terms, Profit Partners grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business bookkeeping purposes. You may not copy, resell, reverse engineer, or use the Service to build a competing product, except as permitted by law.
3. Authorization to access accounting data
By connecting a QuickBooks Online company, you authorize Profit Partners to access and use the accounting data in that company to provide the Service, as described in our Privacy Policy. You represent that you have the authority to grant this access for the company you connect. You may revoke access at any time through Intuit’s connected-apps settings.
4. Your responsibilities
- Provide accurate information and maintain the security of your own accounts and credentials.
- Use the Service in compliance with applicable laws and Intuit’s terms.
- Review the books and reports produced; you remain responsible for filings and financial decisions.
5. Professional-services disclaimer
The Service supports bookkeeping and reporting. It does not constitute legal, tax, audit, or investment advice. You are responsible for verifying results and for your own tax and regulatory compliance. Consult a qualified professional for advice specific to your situation.
6. Intellectual property
Profit Partners and its licensors retain all rights, title, and interest in the Service, excluding your data. Your accounting data remains yours.
7. Third-party services
The Service integrates with Intuit QuickBooks Online and may rely on other third-party services. Your use of those services is governed by their own terms, and we are not responsible for third-party services.
8. Disclaimer of warranties
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
9. Limitation of liability
To the maximum extent permitted by law, Profit Partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from or related to the Service. Our total liability for any claim relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months preceding the claim.
10. Termination
Either party may terminate use of the Service at any time. You may disconnect the QuickBooks Online connection through Intuit at any time. Provisions that by their nature should survive termination will survive.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above. Continued use of the Service after changes take effect constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules, except where applicable law requires otherwise.
